Terms of Service

1. Acceptance of Terms

By accessing and using Aureum Sentinel (the "Platform"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. Aureum Sentinel is operated by Aureum Frontiers B.V., a company registered in the Netherlands (KvK 42097431).

2. Definitions

Platform

Aureum Sentinel: a quantitative finance analytics and risk management system accessible via web interface.

User

Any individual or entity accessing the Platform under an authorized account.

Content

Data, reports, calculations, models, and any outputs generated by the Platform.

Client Data

Portfolio holdings, positions, and other financial information you provide to the Platform.

Output Data

Analytics, risk metrics, performance reports, and derivative valuations produced by the Platform.

3. Eligibility

You represent and warrant that:

• You are at least 18 years old and capable of entering into a binding contract
• You are acting on behalf of an authorized institutional entity (asset manager, pension fund, insurance company, or financial institution)
• You have authority to accept these Terms on behalf of your organization
• Your use of the Platform complies with all applicable laws and regulations in your jurisdiction

4. Service Description

The Platform provides:

• Portfolio risk analytics (VaR, stress testing, scenario analysis)
• Performance attribution and compliance monitoring
• Derivative pricing and derivatives portfolio risk
• ESG scoring and regulatory compliance assessment
• Backtesting and strategy optimization
• Optional: AI-powered agent assistant for query-driven analysis

These outputs are NOT financial advice, investment recommendations, or fiduciary opinions. You must conduct your own independent analysis and consult qualified financial, legal, and tax advisors before making any investment decisions. Output accuracy depends on input data quality and modeling assumptions, Aureum Sentinel makes no warranty regarding absolute accuracy of any calculation or projection.

5. Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your account credentials
• Notifying Aureum Sentinel immediately of unauthorized access
• Ensuring that Client Data you input is accurate and current
• Compliance with data protection and export control laws
• Maintaining appropriate backups of any work performed on the Platform

Aureum Sentinel reserves the right to suspend accounts that violate these Terms or pose a security risk.

6. Fees and Payment

Your use of the Platform is subject to the Subscription Agreement executed with Aureum Sentinel. Fees are invoiced monthly or annually as specified. You are responsible for timely payment. Failure to pay within 30 days may result in service suspension. Fees are non-refundable except as required by law.

7. Intellectual Property

• Platform & Algorithms: All Platform features, analytics models, backtesting engines, and code are owned by Aureum Sentinel or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Platform solely for authorized business purposes.
• Client Data: You retain all rights to Client Data you upload. You grant Aureum Sentinel a limited license to process this data solely to provide the Platform services.
• Output Data: You own the Output Data generated from your Client Data. You may not reverse-engineer or disassemble the Platform's analytical models or algorithms.
• Feedback: Any feedback, suggestions, or reported bugs you provide may be used by Aureum Sentinel to improve the Platform without obligation or compensation.

8. Acceptable Use Policy

You agree not to:

• Use the Platform for illegal, fraudulent, or deceptive purposes
• Access or use the Platform through automated means (scraping, bots) without written authorization
• Attempt to bypass security measures or gain unauthorized access
• Disrupt or degrade the Platform's availability or performance
• Reverse-engineer, decompile, or extract the Platform's proprietary models or algorithms
• Resell, redistribute, or sublicense the Platform without authorization
• Use the Platform to develop competing products or services
• Input or process data that violates privacy laws, export controls, or sanctions

Unauthorized use may result in immediate account suspension and legal action.

9. Data Processing and Privacy

Aureum Sentinel processes Client Data on your behalf to provide Platform services. For complete details on data handling, storage, and your privacy rights, see our Privacy Policy. You remain the data controller; Aureum Sentinel acts as a data processor under GDPR terms defined in our Data Processing Agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• CONSEQUENTIAL DAMAGES: Aureum Sentinel is NOT liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost opportunity, even if advised of the possibility of such damages.
• LIABILITY CAP: Aureum Sentinel's total aggregate liability to you under these Terms shall not exceed the fees you paid to Aureum Sentinel in the 12 months immediately preceding the claim, or €50,000 (whichever is greater).
• ACCURACY DISCLAIMER: The Platform provides analytical outputs on an "as-is" basis. While Aureum Sentinel uses reasonable efforts to ensure accuracy, it makes no warranty that:
  • Output Data is accurate, complete, or free from errors
  • Calculations, valuations, or risk estimates are absolutely precise
  • Third-party data sources integrated into the Platform are error-free
  • Market conditions or model assumptions will remain constant
• UPTIME AND AVAILABILITY: While Aureum Sentinel targets 99.5% availability, it does not guarantee uninterrupted service. Scheduled maintenance, network issues, or force majeure events may cause temporary unavailability. You are responsible for implementing your own business continuity measures.
• THIRD-PARTY DATA: The Platform integrates market data, pricing feeds, and security reference data from third-party providers (Yahoo Finance, Bloomberg, etc.). Aureum Sentinel is not responsible for errors, delays, or inaccuracies in third-party data.
• EXCLUSIONS: Some jurisdictions do not permit limitation of liability for gross negligence or willful misconduct. To the extent applicable law does not permit these exclusions, liability shall be limited to the maximum extent permitted.

11. Termination

By You: You may terminate your account at any time by written notice. Your subscription shall terminate at the end of the current billing period unless you opt for immediate termination (subject to early termination fees in your Subscription Agreement).

By Aureum Sentinel: Aureum Sentinel may terminate or suspend your account immediately if you breach these Terms, engage in illegal activity, fail to pay fees after 30 days' notice, or pose a security risk.

Effect of Termination: Upon termination, your right to access the Platform ends. You may export Client Data within 30 days; thereafter, Aureum Sentinel may delete your account and all associated data.

12. Modifications to Terms

Aureum Sentinel may modify these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of the Platform after such notice constitutes acceptance of modified Terms. If you do not agree to modifications, you may terminate your account.

13. Dispute Resolution and Jurisdiction

Governing Law: These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Jurisdiction and Venue: You and Aureum Sentinel irrevocably submit to the exclusive jurisdiction of the courts in Amsterdam, Netherlands, for resolution of all disputes arising from these Terms or your use of the Platform.

Alternative Dispute Resolution: Before pursuing litigation, the parties agree to attempt good-faith negotiation for 30 days. If negotiation fails, either party may escalate to mediation under Netherlands commercial mediation rules.

14. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall remain in full force and effect.
